Conditions
Overview
The Policy on Intellectual and Real Property delineates the conditions, principles, and protections for intellectual and associated real property at Ikoku University, which are integral to the Agreement you enter into whenever — and wherever — you commence or continue any conduct or service relating in any way, directly or indirectly, to Ikoku University. Please, therefore, take the time to read what follows carefully.
I — Your Policy Agreements
— first, with respect to the Intellectual and Real Property Policy you enter into via your Agreement with the Codes and Policies, you understand and agree to abide by the following:
i. Policy: Name, Nature
that the name of this Policy is the “Policy on Intellectual and Real Property of Alvan Ikoku University” (the “Intellectual and Real Property Policy,” the “Intellectual and Real Property Policy,” and the “Real Property Policy”) and that the nature of this Policy is to serve as the policy on intellectual and associated real property of Alvan Ikoku University.
ii. Policy: Composition
that the Intellectual and Real Property Policy consists of all conditions, principles, protections, and equivalent provisions for intellectual and associated real property in the Codes and Policies of Alvan Ikoku University (the “Codes and Policies” and the “Policies”) and the Ikoku University Conduct and Service Agreement (the “Agreement”), which therefore include, but are not limited to, those delineated below.
iii. Policy: Agreement
that you understand the Intellectual and Real Property Policy to be an integral part of the Codes and Policies and the Agreement you enter into with Ikoku University.
iv. Policy: Consent
that your consent to the Codes and Policies and the Agreement includes your legally equivalent consent to the Intellectual and Real Property Policy.
v. Policy: Duties
that your duties to the Codes and Policies and the Agreement includes your legally equivalent duties to the Intellectual and Real Property Policy.
vi. Policy: Entry
that your entry into the Agreement includes your legally equivalent entry into the Intellectual and Real Property Policy, and similarly occurs whenever you commence or continue any conduct or service at, by, for, in, on, with or otherwise relating to Ikoku University.
vii. Policy: Legally Abiding
that your attestation about your reading, understanding, consenting and agreeing to legally abide by the Codes and Policies and the Agreement includes your legally attestation about your reading, understanding, consenting and agreeing to legally abide by the Intellectual and Real Property Policy, in its entirety without modification or severability, as amended from time to time solely by the Founder.
viii. Policy: Legally Binding
that your attestation about your reading, understanding, consenting and agreeing to be legally bound by the Codes and Policies and the Agreement includes your legally equivalent attestation about your reading, understanding, consenting and agreeing to be legally bound by the Intellectual and Real Property Policy, in its entirety without modification or severability, as amended from time to time solely by the Founder.
ix. Policy: Knowledge
that your attestation about your awareness and acceptance of your responsibility to keep informed and update your knowledge of the Codes and Policies and the Agreement includes your legally equivalent awareness and acceptance of your responsibility to keep informed and update your knowledge of the Intellectual and Real Property Policy, in its entirety without modification or severability, as amended from time to time solely by the Founder.
II — Your Policy Understandings
— second, with respect to your understandings of the Intellectual and Real Property Policy, you covenant, represent, and warrant the following:
i. Understanding: Intellectual, Real Property
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of intellectual and associated real property as they are defined and provided for in the Intellectual and Real Property Policy, the Codes and Policies, and applicable law and regulation.
ii. Understanding: Intellectual, Real Property Conditions
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of intellectual and associated real property conditions as they are defined and provided for in the Intellectual and Real Property Policy, the Codes and Policies, and applicable law and regulation, to be fulfilled and respected and not breached or violated, in any way, by you.
iii. Understanding: Intellectual, Real Property Definitions
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of intellectual and associated real property definitions as they are defined and provided for in the Intellectual and Real Property Policy, the Codes and Policies, and applicable law and regulation, to be fulfilled and respected and not breached or violated, in any way, by you.
iv. Understanding: Intellectual, Real Property Practices
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of intellectual and associated real property practices as they are defined and provided for in the Intellectual and Real Property Policy, the Codes and Policies, and applicable law and regulation, to be fulfilled and respected and not breached or violated, in any way, by you.
v. Understanding: Intellectual, Real Property Principles
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of intellectual and associated real property principles as they are defined and provided for in the Intellectual and Real Property Policy, the Codes and Policies, and applicable law and regulation, to be fulfilled and respected and not infringed or violated, in any way, by you.
vi. Understanding: Intellectual, Real Property Processes
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of intellectual and associated real property processes as they are defined and provided for in the Intellectual and Real Property Policy, the Codes and Policies, and applicable law and regulation, to be fulfilled and respected and not breached or violated, in any way, by you.
vii. Understanding: Intellectual, Real Property Rights
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of intellectual and associated real property rights as they are defined and provided for in the Intellectual and Real Property Policy, the Codes and Policies, and applicable law and regulation, to be fulfilled and respected and not infringed or violated, in any way, by you.
viii. Understanding: Intellectual, Real Property Safeguards
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of intellectual and associated real property safeguards and resulting protections as they are defined and provided for in the Intellectual and Real Property Policy, the Codes and Policies, and applicable law and regulation, to be fulfilled and respected and not breached or violated, in any way, by you.
ix. Understanding: Intellectual, Real Property Violations
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of intellectual and associated real property breach, diminishment, incompatibility, infringement, and violation as they are defined and provided for in the Intellectual and Real Property Policy, the Codes and Policies, and applicable law and regulation, to not be brought about, in any way, by you.
III — Your Policy Commitments
— third, with respect to your commitments to the Intellectual and Real Property Policy, you understand and agree to abide by the following:
i. Commitment: Basis
that your commitment is the basis for any conduct or service at, by, for, in, on, with, or otherwise relating to Ikoku University that you commence or continue — including via any of the Products or Services, or the divisions, series, subsidiaries, or affiliates — and that any such conduct or service is free of any incompatibility with Ikoku University or violation of the Intellectual and Real Property Policy, the Codes and Policies, or applicable law or regulation.
ii. Commitment: Intellectual, Real Property
that this commitment include but not be limited to upholding for every person at Ikoku University the most humane, protective and respectful interpretations of intellectual and associated real property, including as provided for in the Intellectual and Real Property Policy, the Codes and Policies, and applicable law and regulation.
iii. Commitment: Intellectual, Real Property Conditions
that this commitment include but not be limited to upholding for every person at Ikoku University the most humane, protective and respectful interpretations of intellectual and associated real property conditions, including as provided for in the Intellectual and Real Property Policy, the Codes and Policies, and applicable law and regulation.
iv. Commitment: Intellectual, Real Property Definitions
that this commitment include but not be limited to upholding for every person at Ikoku University the most humane, protective and respectful interpretations of intellectual and associated real property definitions, including as provided for in the Intellectual and Real Property Policy, the Codes and Policies, and applicable law and regulation.
v. Commitment: Intellectual, Real Property Principles
that this commitment include but not be limited to upholding for every person at Ikoku University the most humane, protective and respectful interpretations of intellectual and associated real property principles, including as provided for in the Intellectual and Real Property Policy, the Codes and Policies, and applicable law and regulation.
vi. Commitment: Intellectual, Real Property Processes
that this commitment include but not be limited to upholding for every person at Ikoku University the most humane, protective and respectful interpretations of intellectual and associated real property processes, including as provided for in the Intellectual and Real Property Policy, the Codes and Policies, and applicable law and regulation.
vii. Commitment: Intellectual, Real Property Rights
that this commitment include but not be limited to upholding for every person at Ikoku University the most humane, protective and respectful interpretations of intellectual and associated real property rights, including as provided for in the Intellectual and Real Property Policy, the Codes and Policies, and applicable law and regulation.
viii. Commitment: Intellectual, Real Property Safeguards
that this commitment include but not be limited to upholding for every person at Ikoku University the most humane, protective and respectful interpretations of intellectual and associated real property safeguards and resulting protections, including as provided for in the Intellectual and Real Property Policy, the Codes and Policies, and applicable law and regulation.
ix. Commitment: Your Duty, Practices
that you respectfully assist solely via Your Duties as described in the Codes and Policies and the Intellectual and Real Property Policy and in no way interfere with or impede the reasonable efforts authorized and executed solely by the Founder to translate the above commitments into practices for adopting and applying policies pertaining to intellectual and associated real property; for adjudicating and determining compliance with the policies; and for fulfilling Ikoku University’s own duties pertaining to intellectual and associated real property, intellectual and associated real property conditions, intellectual and associated real property definitions, intellectual and associated real property principles, intellectual and associated real property processes, intellectual and associated real property rights, and intellectual and associated real property safeguards and their resulting protections, including as provided for in the Intellectual and Real Property Policy, the Codes and Policies, and applicable law and regulation.
x. Commitment: Your Duty, Protections
that you also respectfully assist solely via Your Duties as described in the Codes and Policies and the Intellectual and Real Property Policy and in no way interfere with or impede the reasonable efforts authorized and executed solely by the Founder to develop and enforce intellectual and associated real property protections derived from, first, applicable law and regulation, and second, from advances in intellectual and associated real property that protect persons in ways that go beyond what such law and regulation currently provides.
Principles
Provision
The Policy on Intellectual and Real Property requires your adherence to the conditions above and correlative principles delineated below.
A — On Property
Conditions of Property
— With respect to conditions for intellectual and associated real property, you understand and agree to abide by the following:
i. Conditions, Property
that, in addition to your Agreement, you maintain and not infringe, in any way, the ensuing conditions for intellectual and associated real property, which depend on the proprietary nature of Alvan Ikoku University — including its official entities, persons, the Founder, and Ikoku University Administration — as a proprietary corporation and organization and as entities and persons of proprietary administration.
ii. Conditions, Property: Administration
that the proprietary administration of Ikoku University and Ikoku University Administration and the rights attendant to such proprietariness and property — as conducted solely by the Founder, Alvan Azinna Chibuzo Ikoku, and executed solely via the Founder’s authorization — are actively attained, maintained, protected, and secured, are fully enjoyed and fulfilled, and are not infringed in any way.
iii. Conditions, Property: Areas
that the proprietary administration of the official areas of Ikoku University and Ikoku University Administration and the rights attendant to such proprietariness and property — including that providing for and otherwise pertaining to the proprietariness and property of its official areas, offices, parts, properties, sections, and equivalent, as authorized solely by the Founder, Alvan Azinna Chibuzo Ikoku — are actively attained, maintained, protected, and secured, are fully enjoyed and fulfilled, and are not infringed in any way.
iv. Conditions, Property: Founder
that the proprietariness and property of Ikoku University’s Founder, Alvan Azinna Chibuzo Ikoku, and the rights attendant to such proprietariness and property — including that providing for and otherwise pertaining to the proprietariness and property of the Founder, his activities, administration, conduct and service, as executed solely by the Founder’s authorization — are actively attained, maintained, protected, and secured, are fully enjoyed and fulfilled, and are not infringed in any way.
v. Conditions, Property: Ownership
that the proprietary ownership of Ikoku University and Ikoku University Administration and the rights attendant to such proprietariness and property — including that providing for and otherwise pertaining to the proprietary interests-, share-, stake- and stock-holding, ownership, and equivalent of Ikoku University and Ikoku University Administration, solely and wholly by the Founder, Alvan Azinna Chibuzo Ikoku — are actively attained, maintained, protected, and secured, are fully enjoyed and fulfilled, and are not infringed in any way.
vi. Conditions, Property: Practices
that the proprietary practices of Ikoku University and Ikoku University Administration and the rights attendant to such proprietariness and property — including that providing for and otherwise pertaining to practices for ensuring the proprietariness and property of Ikoku University, Ikoku University Administration, its official entities, persons, the Founder, and its conduct and service, as authorized solely by the Founder, Alvan Azinna Chibuzo Ikoku — are actively attained, maintained, protected, and secured, are fully enjoyed and fulfilled, and are not infringed in any way.
vii. Conditions, Property: Remedying
that the proprietary remedying of actual, anticipated or apparent infringement relating to Ikoku University and Ikoku University Administration and the rights attendant to such proprietariness and property — including that providing for and otherwise pertaining to the proprietary remedying of any infringement or equivalent of the Codes and Policies and applicable law and regulation, at the absolute, complete and sole discretion of the Founder, Alvan Azinna Chibuzo Ikoku — are actively attained, maintained, protected, and secured, are fully enjoyed and fulfilled, and are not infringed in any way.
Duties of Property
— With respect to duties of intellectual and associated real property, you understand and agree to abide by the following:
i. Duty, Property: Activity
that you and Ikoku University have a duty to maintain and not infringe, in any way, the proprietary administration of any official act or activity of Ikoku University or the Founder, solely via the Founder’s authorization.
ii. Duty, Property: Agent
that you and Ikoku University have a duty to maintain and not infringe, in any way, the proprietary administration of any official agent or party of Ikoku University or the Founder, solely via the Founder’s authorization.
iii. Duty, Property: Arrangement
that you and Ikoku University have a duty to maintain and not infringe, in any way, the proprietary administration of any official arrangement of Ikoku University or the Founder, solely via the Founder’s authorization.
iv. Duty, Property: Conduct, Service
that you and Ikoku University have a duty to maintain and not infringe, in any way, the proprietary administration of any official conduct or service of Ikoku University or the Founder, solely via the Founder’s authorization.
v. Duty, Property: Entity, Organization
that you and Ikoku University have a duty to maintain and not infringe, in any way, the intellectual and associated real property of Alvan Ikoku University — including its official entities, persons, the Founder, and Ikoku University Administration — as a proprietary corporation and organization and as entities and persons of proprietary administration.
vi. Duty, Property: Expectation
that you and Ikoku University have a duty to heed and not infringe, in any way, any expectation of intellectual and associated real property — such as in the settings of activities, administration, conduct, or service relating to material or matter that is copyrightable, franchisable, licensable, patentable, service- or trademarkable, or equivalent, or otherwise acquired, applied for, managed, owned or used as property and entailing proprietary rights or equivalent — by Ikoku University or the Founder, solely via the Founder’s authorization.
vii. Duty, Property: Material
that you and Ikoku University have a duty to maintain and not infringe, in any way, the proprietary administration of any official material of Ikoku University or the Founder, solely via the Founder’s authorization.
viii. Duty, Property: Matter
that you and Ikoku University have a duty to maintain and not infringe, in any way, the proprietary administration of any official matter of Ikoku University or the Founder, solely via the Founder’s authorization.
ix. Duty, Property: Procedure
that you and Ikoku University have a duty to maintain and not infringe, in any way, the proprietary administration of any official procedure, proceeding, or process of Ikoku University or the Founder, solely via the Founder’s authorization.
x. Duty, Property: Relation
that you and Ikoku University have a duty to maintain and not infringe, in any way, the proprietary administration of any official relation or relationship — to an entity, office, or person — of Ikoku University or the Founder, solely via the Founder’s authorization.
xi. Duty, Property: Request
that you and Ikoku University have a duty to head and not infringe, in any way, a request for intellectual and associated real property — such as in the settings of activities, administration, conduct, or service relating to material or matter that is copyrightable, franchisable, licensable, patentable, service- or trademarkable, or equivalent, or otherwise acquired, applied for, managed, owned or used as property and entailing proprietary rights or equivalent — by Ikoku University or the Founder, solely via the Founder’s authorization.
xii. Duty, Property: Reporting
that your sole means of fulfilling the aforementioned duties is by refraining from and reporting — via fully informing communication directly to the Founder — any infringement of intellectual and associated real property, and furthermore, not in any way diminishing or hindering the Founder’s sole discretion and powers to adjudicate and remedy such infringements.
Rights to Property
— With respect to rights to intellectual and associated real property, you understand and agree to abide by the following:
i. Rights, Property: Applicable Law
that you and Ikoku University do not infringe, in any way, the rights to intellectual and associated real property accorded to persons by applicable law and regulation.
ii. Rights, Property: Civil, Fundamental
that you and Ikoku University do not infringe, in any way, the rights to intellectual and associated real property accorded to persons by their polities.
iii. Rights, Property: Entity, Organization
that you and Ikoku University do not infringe, in any way, the hereby accorded rights to intellectual and associated real property of Alvan Ikoku University — including its official entities, persons, the Founder, and Ikoku University Administration — as a proprietary corporation and organization and as entities and persons of proprietary administration.
Safeguards of Property
— With respect to safeguards of intellectual and associated real property, you understand and agree to abide by the following:
i. Safeguards, Property: Activity
that you do not infringe, in any way, the practices, processes, protections, and other provisions of Ikoku University to safeguard the proprietary administration of any official act or activity of Ikoku University or the Founder, solely via the Founder’s authorization.
ii. Safeguards, Property: Agent
that you do not infringe, in any way, the practices, processes, protections, and other provisions of Ikoku University to safeguard the proprietary administration of any official agent or party of Ikoku University or the Founder, solely via the Founder’s authorization.
iii. Safeguards, Property: Arrangement
that you do not infringe, in any way, the practices, processes, protections, and other provisions of Ikoku University to safeguard the proprietary administration of any official arrangement of Ikoku University or the Founder, solely via the Founder’s authorization.
iv. Safeguards, Property: Conduct, Service
that you do not infringe, in any way, the practices, processes, protections, and other provisions of Ikoku University to safeguard the proprietary administration of any official conduct or service of Ikoku University or the Founder, solely via the Founder’s authorization.
v. Safeguards, Property: Entity, Organization
that you do not infringe, in any way, the practices, processes, protections, and other provisions of Ikoku University to safeguard the intellectual and associated real property of Alvan Ikoku University — including its official entities, persons, the Founder, and Ikoku University Administration — as a proprietary corporation and organization and as entities and persons of proprietary administration.
vi. Safeguards, Property: Expectation
that you do not infringe, in any way, the practices, processes, protections, and other provisions of Ikoku University to fulfill and safeguard an expectation of intellectual and associated real property by Ikoku University or the Founder, solely via the Founder’s authorization.
vii. Safeguards, Property: Material
that you do not infringe, in any way, the practices, processes, protections, and other provisions of Ikoku University to safeguard the proprietary administration of any official material of Ikoku University or the Founder, solely via the Founder’s authorization.
viii. Safeguards, Property: Matter
that you do not infringe, in any way, the practices, processes, protections, and other provisions of Ikoku University to safeguard the proprietary administration of any official matter of Ikoku University or the Founder, solely via the Founder’s authorization.
ix. Safeguards, Property: Procedure
that you do not infringe, in any way, the practices, processes, protections, and other provisions of Ikoku University to safeguard the proprietary administration of any official procedure, proceeding, or process of Ikoku University or the Founder, solely via the Founder’s authorization.
x. Safeguards, Property: Relation
that you do not infringe, in any way, the practices, processes, protections, and other provisions of Ikoku University to safeguard the proprietary administration of any official relation or relationship — to an entity, office, or person — of Ikoku University or the Founder, solely via the Founder’s authorization.
xi. Safeguards, Property: Request
that you heed and do not infringe, in any way, the practices, processes, protections, and other provisions of Ikoku University to fulfill and safeguard a request for intellectual and associated real property by Ikoku University or the Founder, solely via the Founder’s authorization.
xii. Safeguards, Property: Rights
that you do not infringe, in any way, the practices, processes, protections, and other provisions of Ikoku University to fulfill and safeguard the aforementioned and other rights to intellectual and associated real property, including but not limited to those provided for in the Codes and Policies and applicable law and regulation.
xiii. Safeguards, Property: Reporting
that your primary means of respecting the aforementioned safeguards is by refraining from and reporting — via fully informing communication directly to the Founder — any infringement of intellectual and associated real property, and furthermore, not in any way diminishing or hindering the Founder’s sole discretion and powers to adjudicate and remedy such infringements.
B — On Property Administration
Sole Administration
— With respect to the administration of intellectual and associated real property, you understand and agree to abide by the following:
i. Property, Administration
that the Founder, Alvan Azinna Chibuzo Ikoku, is solely empowered with all administrative powers over intellectual and associated real property relating, in any way, to Ikoku University — as provided for in the Codes and Policies and the Conditions for Governance — and you agree and promise to not compete with, interfere with, or infringe, in any way, the Founder’s absolute, complete and sole administration of such intellectual and associated real property.
ii. Property, Acquisition
that Ikoku University and the Founder, Alvan Azinna Chibuzo Ikoku, are solely empowered with all property and proprietary powers and rights to acquire or otherwise obtain intellectual and associated real property conceived, created, developed, innovated, invented, made, purchased or otherwise processed or produced at, by, for, in, on, via, with or otherwise in relation to Ikoku University — to be fully, solely and wholly awarded to and owned by the Founder — and you agree and promise to not compete with, interfere with, or infringe, in any way, such acquisition or equivalent.
iii. Property, Application, Registration
that Ikoku University and the Founder, Alvan Azinna Chibuzo Ikoku, are solely empowered with all property and proprietary powers and rights to apply for, register, and otherwise secure intellectual and associated real property conceived, created, developed, innovated, invented, made, purchased or otherwise processed or produced at, by, for, in, on, via, with or otherwise in relation to Ikoku University — to be fully, solely and wholly awarded to and owned by the Founder — and you agree and promise to not compete with, interfere with, or infringe, in any way, such application, registration, or equivalent.
iv. Property, Enforcement
that Ikoku University and the Founder, Alvan Azinna Chibuzo Ikoku, are solely empowered with all property and proprietary powers and rights to enforce protections, permissions, and rights pertaining to intellectual and associated real property conceived, created, developed, innovated, invented, made, purchased or otherwise processed or produced at, by, for, in, on, via, with or otherwise in relation to Ikoku University — as provided for in the Codes and Policies and the Conditions for Governance — and you agree and promise to not compete with, interfere with, or infringe, in any way, such enforcement or equivalent.
v. Sole Manner of Administration
with such administration of intellectual and associated real property executed solely by the Founder, Alvan Azinna Chibuzo Ikoku, and solely via the Founder’s authorization.
vi. No Alternative, Delegation
with such administration not allowed to have any alternative — be it another act, activity, agent, arrangement, or equivalent — to the aforementioned sole administrator and sole manner of administration, and with such administration also not allowed to be delegated to or otherwise assumed by any other entity, office, or person.
Sole Authorization
— With respect to authorization for intellectual and associated real property, you understand and agree to abide by the following:
i. Sole Authorization by Sole Founder
that the Founder, Alvan Azinna Chibuzo Ikoku, is solely empowered with all authorization powers and rights over intellectual and associated real property relating, in any way, to Ikoku University — as provided for in the Codes and Policies and the Conditions for Governance — and you agree and promise to not compete with, interfere with, or infringe, in any way, the Founder’s absolute, complete and sole authorization and authorizer pertaining to such intellectual and associated real property.
ii. Sole Franchising by Sole Founder
that the Founder, Alvan Azinna Chibuzo Ikoku, is solely empowered with all franchising powers and rights over intellectual and associated real property relating, in any way, to Ikoku University — as provided for in the Codes and Policies and the Conditions for Governance — and you agree and promise to not compete with, interfere with, or infringe, in any way, the Founder’s absolute, complete and sole franchising and franchisor pertaining to such intellectual and associated real property.
iii. Sole Licensing by Sole Founder
that the Founder, Alvan Azinna Chibuzo Ikoku, is solely empowered with all licensing powers and rights over intellectual and associated real property relating, in any way, to Ikoku University — as provided for in the Codes and Policies and the Conditions for Governance — and you agree and promise to not compete with, interfere with, or infringe, in any way, the Founder’s absolute, complete and sole licensing and licensor pertaining to such intellectual and associated real property.
iv. Sole Permission by Sole Founder
that the Founder, Alvan Azinna Chibuzo Ikoku, is solely empowered with all usage permission powers and rights over intellectual and associated real property relating, in any way, to Ikoku University — as provided for in the Codes and Policies and the Conditions for Governance — and you agree and promise to not compete with, interfere with, or infringe, in any way, the Founder’s absolute, complete and sole usage permission and permitter pertaining to such intellectual and associated real property.
v. Sole Third-Party, Transfer by Sole Founder
that the Founder, Alvan Azinna Chibuzo Ikoku, is solely empowered with all powers and rights to make any third-party and transfer arrangements involving intellectual and associated real property relating, in any way, to Ikoku University — as provided for in the Codes and Policies and the Conditions for Governance — and you agree and promise to not compete with, interfere with, or infringe, in any way, the Founder’s absolute, complete and sole third-party and transfer arrangement administration pertaining to such intellectual and associated real property.
vi. Sole Manner of Authorization
with such authorization for intellectual and associated real property executed solely by the Founder, Alvan Azinna Chibuzo Ikoku, and solely via the Founder’s authorization.
vii. No Alternative, Delegation
with such authorization not allowed to have any alternative — be it another act, activity, agent, arrangement, or equivalent — to the aforementioned sole administrator and sole manner of authorization, and with such authorization also not allowed to be delegated to or otherwise assumed by any other entity, office, or person.
Sole Ownership
— With respect to the ownership of intellectual and associated real property, you understand and agree to abide by the following:
i. Sole Ownership by Sole Founder
that Ikoku University and the Founder, Alvan Azinna Chibuzo Ikoku, are solely empowered with all ownership, property and proprietary powers and rights over intellectual and associated real property relating, in any way, to Ikoku University — with the exception of External Intellectual Property — that such ownership is fully, solely and wholly awarded to and owned by the Founder, and you agree and promise to not compete with, interfere with, or infringe, in any way, the Founder’s absolute, complete and sole ownership of such intellectual and associated real property and associated property and proprietary powers and rights.
ii. Sole Ownership, Acquisition
that Ikoku University and the Founder, Alvan Azinna Chibuzo Ikoku, are solely empowered with all ownership, property and proprietary powers and rights over acquisition of intellectual and associated real property at, by, for, in, on, via, with or otherwise in relation to Ikoku University — with the exception of External Intellectual Property — that such ownership is fully, solely and wholly awarded to and owned by the Founder, and you agree and promise to not compete with, interfere with, or infringe, in any way, the Founder’s absolute, complete and sole ownership of such acquisition of intellectual and associated real property.
iii. Sole Ownership, Application, Registration
that Ikoku University and the Founder, Alvan Azinna Chibuzo Ikoku, are solely empowered with all ownership, property and proprietary powers and rights over applications, registrations, and other securings of intellectual and associated real property conceived, created, developed, innovated, invented, made, purchased or otherwise processed or produced at, by, for, in, on, via, with or otherwise in relation to Ikoku University — with the exception of External Intellectual Property — that such ownership is fully, solely and wholly awarded to and owned by the Founder, and you agree and promise to not compete with, interfere with, or infringe, in any way, the Founder’s absolute, complete and sole ownership of such applications, registrations, and other securings of intellectual and associated real property.
iv. Sole Ownership, Franchises, Licenses, Permissions
that Ikoku University and the Founder, Alvan Azinna Chibuzo Ikoku, are solely empowered with all ownership, property and proprietary powers and rights over franchises, licenses, and other usage permissions of intellectual and associated real property conceived, created, developed, innovated, invented, made, purchased or otherwise processed or produced at, by, for, in, on, via, with or otherwise in relation to Ikoku University — with the exception of External Intellectual Property — that such ownership is fully, solely and wholly awarded to and owned by the Founder, and you agree and promise to not compete with, interfere with, or infringe, in any way, the Founder’s absolute, complete and sole ownership of such franchises, licenses, and other usage permissions of intellectual and associated real property.
v. Sole Ownership, Logos, Marks, Names, Slogans
that Ikoku University and the Founder, Alvan Azinna Chibuzo Ikoku, are solely empowered with all ownership, property and proprietary powers and rights over all logos, marks, names, slogans, symbols, text, visual and graphic material, or equivalent, or variations thereof, in part or in whole, relating in any way to Ikoku University — with the exception of External Intellectual Property — that such ownership is fully, solely and wholly awarded to and owned by the Founder, and you agree and promise to not compete with, interfere with, or infringe, in any way, the Founder’s absolute, complete and sole ownership of such intellectual and associated real property; with the legally binding understanding that such ownership includes, but is not limited to, the marks and names listed below.
v-a. Sole Ownership, Marks, Names of Ikoku University
all names and marks of The Alvan Ikoku University, the divisions, series, subsidiaries, and affiliates, as well as the Products and Services, including but not limited to “Alvan Ikoku University,” “Ikoku University,” and “Alvan Azinna Chibuzo Ikoku University.”
vi. Ownership Upheld by Policy, Law
that Ikoku University requires and ensures that the aforementioned ownership, property and proprietary powers and rights over intellectual and associated real property is to be protected and upheld by institution policy and applicable law and regulation.
vii. Under Copyright, Mark, Patent
that all intellectual and associated real property conceived, created, developed, innovated, invented, made, purchased or otherwise processed or produced at, by, for, in, on, via, with or otherwise in relation to Ikoku University, including associated assets, material, and matter, is to be under copyright, patent, service- and trademark, and equivalent — with the exception of External Intellectual Property — that such copyright, patent, service- and trademark, and equivalent is fully, solely and wholly awarded to and owned by Alvan Azinna Chibuzo Ikoku, the Founder, and such ownership of copyright, patent, service- and trademark, and equivalent is to be protected and upheld by institution policy and applicable law and regulation.
viii. With Exception, External
with the understanding that, as indicated, all the aforementioned is apply to any intellectual property relating, in any way, to Ikoku University, with the exception of External Intellectual Property as defined in the Codes and Policies.
C — On Property Permissions
As Authorized Use
— With respect to authorized permission as the basis for use of intellectual and associated real property, you understand and agree to abide by the following:
i. Permissions: Basis, Any Use
that Ikoku University requires and ensures authorized permission is the basis for any use of intellectual and associated real property, including via conduct or service relating, in any way, to Ikoku University.
ii. Permissions: Request, Receipt
that, except as otherwise noted, Ikoku University requires and ensures you request and receive such authorized permission from Ikoku University before you copy, distribute, display, download, or otherwise involve or use any intellectual and associated real property relating, in any way, to Ikoku University or the Founder, or variations thereof, in any way, in part or in whole.
iii. Permissions: Sole Authorizer
that Ikoku University requires and ensures such authorized permission is provided solely by the Founder, Alvan Azinna Chibuzo Ikoku, and executed solely by the Founder’s authorization, with such authorization not allowed to have any alternative — be it another act, activity, agent, arrangement, or equivalent — and also not allowed to be delegated to or otherwise assumed by any other entity, office, or person.
As Permitted Use
— With respect to such authorization as specifying permitted use of intellectual and associated real property, you understand and agree to abide by the following:
i. Permission: Presumption Where Ikoku University, Founder
that you and Ikoku University do not treat any intellectual or associated real property relating, in any way, to Ikoku University or the Founder, or their conduct or service — including any act, activity, agent, arrangement, asset, or involved material or matter — as usable or equivalent, in any way, unless the Founder has provided and not revoked his authorization that such intellectual or associated real property is permitted to be used or equivalent, and where such authorization is provided and unrevoked, the Founder explicitly, expressly and specifically states the terms for use or equivalent delineated below.
i-a. Permission: Aspect of IP
the specific aspect or instance of intellectual or associated real property — including any activity, agent, arrangement, asset, or involved material or matter — being permitted to be used or equivalent.
i-b. Permission: Activity
the ethical, lawful and specific activity, conduct, service, or use being permitted on the above intellectual or associated real property.
i-c. Permission: Aim
the ethical, lawful and specific aim, goal, objective, or purpose of permitting the above activity, conduct, service, or use on the above intellectual or associated real property.
i-d. Permission: Benefits
the ethical, lawful and specific benefits to Ikoku University or the Founder, and any other person concerned, of permitting the above activity, conduct, service, or use on the above intellectual or associated real property.
i-e. Permission: Costs
the ethical, lawful and specific costs to Ikoku University or the Founder, and any other person concerned, of permitting the above activity, conduct, service, or use on the above intellectual or associated real property.
i-f. Permission: Duration
the ethical, lawful and specific duration – and time considerations or implications – for permitting the above activity, conduct, service, or use on the above intellectual or associated real property.
i-g. Permission: Manner
the ethical, lawful and specific manner, means, method, or mode — including arrangement, display, or equivalent of any material — of effecting or facilitating the above activity, conduct, service, or use on the above intellectual or associated real property.
i-h. Permission: Materials
the ethical, lawful and specific categories or types of materials involved in effecting or facilitating the above activity, conduct, service, or use on the above intellectual or associated real property.
i-i. Permission: Matters
the ethical, lawful and specific categories or types of matters involved in effecting or facilitating the above activity, conduct, service, or use on the above intellectual or associated real property.
i-j. Permission: Persons
the ethical, lawful and specific categories or types of persons involved in effecting or facilitating the above activity, conduct, service, or use on the above intellectual or associated real property.
i-k. Permission: Places
the ethical, lawful and specific categories or types of places, venues, or equivalent for effecting or facilitating the above activity, conduct, service, or use on the above intellectual or associated real property.
i-l. Permission: Risks
the ethical, lawful and specific risks to Ikoku University or the Founder and any other person concerned — including but not limited to harms and their effect, extent, likelihood, remedy — in effecting or facilitating the above activity, conduct, service, or use on the above intellectual or associated real property.
i-m. Permission: Safeguards
the ethical, lawful and specific safeguards — of benefits and against risks to Ikoku University or the Founder and any other person concerned — for effecting or facilitating the above activity, conduct, service, or use on the above intellectual or associated real property.
i-n. Permission: Source
the specific attribution, citation, linkage, reference, and other indication of ownership and source of the above intellectual or associated real property — with, wherever applicable, a copyright, service- or trademark attribution notice included in the credit section giving notice of Ikoku University’s ownership of the copyright, service- or trademark, or equivalent; and with, additionally, clear mention of Ikoku University or permitted division, subsidiary, or affiliate of Ikoku University and linkage to one of the Sites, which must include the following statement: “Used with permission from Ikoku University,” where “Ikoku University” may also be replaced with or followed by the name of one of its permitted divisions, subsidiaries, or affiliates; and furthermore, wherever your use includes references to one of the Products or Services, you use the full name of the good, product, program, service, site, or equivalent, with no images used as a link to such good, product, program, service, site, or equivalent, but rather such link made only by using a plain text link with a clause equivalent or similar to, for example, “see this service at Ikoku.University.”
i-o. Permission: Status
the ethical, lawful and specific procedures of keeping Ikoku University or the Founder informed of the status of the above activity, conduct, service, or use on the above intellectual or associated real property.
i-p. Permission: Subject to Inspection
the ethical, lawful and specific procedures of having the above activity, conduct, service, or use on the above intellectual or associated real property subject to inspection by Ikoku University and the Founder, with subsequent granting or revocation of authorization and permission for such use at the absolute, complete and sole discretion of the Founder.
i-q. Permission: Voluntary
the ethical, lawful and specific means by which the Founder shall voluntarily give, maintain, or revoke such authorization for permitting the above activity, conduct, service, or use on the above intellectual or associated real property.
ii. Confirmed via Processes
all of the above as confirmed – even repeated, where appropriate – via processes conducted by Ikoku University, via the Founder’s authorization, and not to be substituted by processes conducted by other persons.
iii. Confirmed via Writing
none of the above being acceptable as authorization when indicated, provided or otherwise received orally or vocally or via any form other than written.
iv. Confirmed not Presumed
none of the above being acceptable as authorization when assumed, presumed or equivalent, and only upon meeting all requirements and standards above may such authorization be deemed confirmed.
As Restricted Use
— With respect to such authorized permission as restricting use of intellectual and associated real property, you understand and agree to abide by the following:
i. Restriction: Authorized Permission
that for the duly requested and granted authorization and permission described above (“Authorized IP Permission”) concerning specific intellectual and associated real property (“Usable IP”) to be and remain valid for any uses permitted, you covenant, represent, and warrant your adherence to the explicitly, expressly and specifically stated terms for use delineated below.
i-a. Restriction: Aspect of IP
that you only use the permitted aspect or instance of intellectual or associated real property specified in the Authorized IP Permission and that you not alter, change, or otherwise modify the Usable IP.
i-b. Restriction: Activity
that you only engage in the permitted activity, conduct, service, or use specified in the Authorized IP Permission.
i-c. Restriction: Aim
that you only engage in the above use solely to further the noncommercial and permitted aim, goal, objective, or purpose specified in the Authorized IP Permission.
i-d. Restriction: Benefits
that you only engage in the above use solely to effect or facilitate the noncommercial and permitted benefits specified in the Authorized IP Permission.
i-e. Restriction: Costs
that you only engage in the above use solely at the permitted costs specified in the Authorized IP Permission.
i-f. Restriction: Duration
that you only engage in the above use solely for the permitted duration and time specified in the Authorized IP Permission.
i-g. Restriction: Manner
that you only engage in the above use solely via the permitted manner, means, method, or mode specified in the Authorized IP Permission.
i-h. Restriction: Materials
that you only engage in the above use solely on the permitted categories or types of materials specified in the Authorized IP Permission.
i-i. Restriction: Matters
that you only engage in the above use solely for the permitted categories or types of matters specified in the Authorized IP Permission.
i-j. Restriction: Persons
that you only engage in the above use solely with the permitted categories or types of persons specified in the Authorized IP Permission.
i-k. Restriction: Place
that you only engage in the above use solely at the permitted places, venues, and equivalent specified in the Authorized IP Permission.
i-l. Restriction: Risks
that you only engage in the above use solely at the permitted risks specified in the Authorized IP Permission.
i-m. Restriction: Safeguards
that you only engage in the above use solely with the permitted safeguards specified in the Authorized IP Permission.
i-n. Restriction: Source
that you only engage in the above use solely with the permitted attribution, citation, linkage, reference, and other indication of ownership and source of the Usable IP specified in the Authorized IP Permission.
i-o. Restriction: Status
that you only engage in the above use solely with the permitted procedures of informing Ikoku University and the Founder specified in the Authorized IP Permission.
i-p. Restriction: Subject to Inspection
that you only engage in the above use solely with the permitted procedures for subjecting such use and the Usable IP to inspection specified in the Authorized IP Permission.
i-q. Restriction: Voluntary
that you only engage in the above use solely with the permitted means for voluntary authorization specified in the Authorized IP Permission.
As Third-Party Use
— With respect to to such authorized permission of third-party franchise, license, or equivalent use of intellectual and associated real property, you understand and agree to abide by the following:
i. Third-Party Franchise, License: Authorization
that for the duly requested and granted authorization and permission described above (“Authorized IP Permission”), in highly restricted circumstances, concerning the franchise, license, or equivalent use (“Authorized Franchise” and “Authorized License”) of Ikoku University-associated, -created, -developed or -owned intellectual and associated real property (“Franchised IP” and “Licensed IP”) by an authorized third-party (“Authorized Third-Party Franchisee” and “Authorized Third-Party Licensee”) to be and remain valid for any uses permitted, you covenant, represent, and warrant your adherence to the explicitly, expressly and specifically stated terms for use delineated below.
i-a. Third-Party Franchise, License: Aspect of IP
that you, as the Authorized Third-Party Franchisee or Licensee, only use the permitted aspect or instance of intellectual or associated real property specified in the Authorized IP Permission and Authorized Franchise or License and that you not alter, change, or otherwise modify the Franchised or Licensed IP.
i-b. Third-Party Franchise, License: Activity
that you only engage in the permitted activity, conduct, service, or use specified in the Authorized IP Permission and Authorized Franchise or License.
i-c. Third-Party Franchise, License: Aim
that you only engage in the above use solely to further the noncommercial and permitted aim, goal, objective, or purpose specified in the Authorized IP Permission and Authorized Franchise or License.
i-d. Third-Party Franchise, License: Benefits
that you only engage in the above use solely to effect or facilitate the noncommercial and permitted benefits specified in the Authorized IP Permission and Authorized Franchise or License.
i-e. Third-Party Franchise, License: Costs
that you only engage in the above use solely at the permitted costs specified in the Authorized IP Permission and Authorized Franchise or License.
i-f. Third-Party Franchise, License: Duration
that you only engage in the above use solely for the permitted duration and time specified in the Authorized IP Permission and Authorized Franchise or License.
i-g. Third-Party Franchise, License: Manner
that you only engage in the above use solely via the permitted manner, means, method, or mode specified in the Authorized IP Permission and Authorized Franchise or License.
i-h. Third-Party Franchise, License: Materials
that you only engage in the above use solely on the permitted categories or types of materials specified in the Authorized IP Permission and Authorized Franchise or License.
i-i. Third-Party Franchise, License: Matters
that you only engage in the above use solely for the permitted categories or types of matters specified in the Authorized IP Permission and Authorized Franchise or License.
i-j. Third-Party Franchise, License: Persons
that you only engage in the above use solely with the permitted categories or types of persons specified in the Authorized IP Permission. and Authorized Franchise or License
i-k. Third-Party Franchise, License: Place
that you only engage in the above use solely at the permitted places, venues, and equivalent specified in the Authorized IP Permission and Authorized Franchise or License.
i-l. Third-Party Franchise, License: Risks
that you only engage in the above use solely at the permitted risks specified in the Authorized IP Permission and Authorized Franchise or License.
i-m. Third-Party Franchise, License: Safeguards
that you only engage in the above use solely with the permitted safeguards specified in the Authorized IP Permission and Authorized Franchise or License.
i-n. Third-Party Franchise, License: Source
that you only engage in the above use solely with the permitted attribution, citation, linkage, reference, and other indication of ownership and source of the Usable IP specified in the Authorized IP Permission and Authorized Franchise or License.
i-o. Third-Party Franchise, License: Status
that you only engage in the above use solely with the permitted procedures of informing Ikoku University and the Founder specified in the Authorized IP Permission. and Authorized Franchise or License
i-p. Third-Party Franchise, License: Subject to Inspection
that you only engage in the above use solely with the permitted procedures for subjecting such use and the Usable IP to inspection specified in the Authorized IP Permission and Authorized Franchise or License.
i-q. Third-Party Franchise, License: Voluntary
that you only engage in the above use solely with the permitted means for voluntary authorization specified in the Authorized IP Permission and Authorized Franchise or License.
ii. Third-Party Agreement, Guideline
that in addition to the above Authorized IP Permission and Authorized Franchise or License Ikoku University will, for each case, craft and publicize an express and written Franchise, License or Third-Party Use Agreement and express and written Franchise, License or Third-Party Use Guidelines — or where permitted use includes fundraising on behalf of Ikoku University, the divisions, series, subsidiaries, and affiliates, or the Products and Services, express and written Third Party Fundraiser Agreement and express and written Third Party Fundraiser Guidelines — authorized by the Founder, specifying the following.
ii-a. Third-Party Agreement, Guideline: Registrations
the explicit terms of the authorized places and venues where uses such as and equivalent to solicitations may occur, and of ensuring that any required licenses and registrations for such use are properly obtained.
ii-b. Third-Party Agreement, Guideline: Deposit, Notification
the explicit terms of a highly restricted and specified timeframe for notification of the Founder and Ikoku University as well as transfer and depositing of any funds, revenues, or other assets generated by such use in specified accounts or holdings of Ikoku University.
ii-c. Third-Party Agreement, Guideline: Designated Acknowledgment
the official person of Ikoku University — along with the Founder — authorized to send the required acknowledgments of receipt of funds, revenues, or other assets generated by such use.
ii-d. Third-Party Agreement, Guideline: Message Approval
final inspection, review, and approval of messaging by the Founder, Alvan Azinna Chibuzo Ikoku.
As Unpermitted Use
— With respect to use of intellectual and associated real property without the aforementioned permission, you understand and agree to abide by the following general prohibition:
i. Prohibition: General
that any and all use of intellectual and associated real property in any way acquired, applied for, conceived, created, developed, innovated, invented, made, obtained, produced, purchased, owned, registered or otherwise administered at, by, for, in, on, via, with or otherwise in relation to Ikoku University as described above — especially any such use for your commercial benefit or purpose, or in any manner that expresses or implies affiliation, association, endorsement, sponsorship, or equivalent by or with Ikoku University — is strictly prohibited.
ii. Prohibition: Exception
that such prohibition is to legally apply, override, supersede, and take precedence except as otherwise permitted by the Codes and Policies, the Intellectual and Real Property Policy, and by written authorization and permission as described herein as Authorized IP Permission.
iii. Prohibition: No Commercial Benefit, Use
with the understanding that you not distribute, exchange, sell, trade, or otherwise transact the Usable IP for a fee, for or with the accrual of material or monetary benefit, or for any other commercial purposes.
iv. Prohibition: No Obscene, Harmful Use
with the understanding that your permitted use of the Usable IP not be obscene or pornographic, and not be disparaging, defamatory or libelous to Ikoku University, any of its divisions, series, subsidiaries, or affiliates; any of the Products or Services; or any of its official persons or entities.
v. Prohibition: No Political Purpose, Implication
with the understanding that you not use the Usable IP in any manner that implies, suggests, or could otherwise be perceived as attributing a political motive, objective, opinion, or its equivalent to Ikoku University, any of its divisions, series, subsidiaries, or affiliates; any of the Products or Services; or any of its official persons or entities.
vi. Prohibition: No False Affiliation, Endorsement
with the understanding that you not use the Usable IP, or make any reference to Ikoku University, in any manner that creates a sense of false affiliation, association, endorsement, sponsorship, or equivalent by or with Ikoku University; any of the divisions, series, subsidiaries, or affiliates; any of the Products or Services; or any of its official persons or entities; and a disclaimer of affiliation, association, endorsement, or sponsorship by or with Ikoku University, similar to the following, is included on all related materials: “[insert name of entity, person] is an independent [insert nature of entity, person] and is not affiliated, associated or sponsored by Ikoku University and [insert content, message, opinion] has not been approved or otherwise endorsed by Ikoku University,” where “Ikoku University” may also be replaced with or followed by the name of one of its permitted divisions, series, subsidiaries, or affiliates, if pertinent.
vii. Prohibition: No Imitation, Use of Design
with the understanding that you not imitate or otherwise use any of the packaging, website designs, logos, typefaces, or equivalent intellectual and associated real property acquired, applied for, conceived, created, developed, innovated, invented, made, obtained, produced, purchased, owned, registered or otherwise administered at, by, for, in, on, via, with or otherwise in relation to Ikoku University.
viii. Prohibition: No Imitation, Use of Slogans
with the understanding that you not imitate or otherwise use any of the slogans, taglines, or equivalent intellectual and associated real property acquired, applied for, conceived, created, developed, innovated, invented, made, obtained, produced, purchased, owned, registered or otherwise administered at, by, for, in, on, via, with or otherwise in relation to Ikoku University; for example: “Care and Community, Culture and Creativity, Ethics and Innovation.”
ix. Prohibition: No Derogatory, False Light
with the understanding that your use of the Usable IP not show Ikoku University; any of its divisions, series, subsidiaries, or affiliates; any of the Products or Services; or any of its official persons or entities in a derogatory or false light.
x. Prohibition: No Unpermitted Disclosure, Use
with the understanding that you not disclose, distribute, or otherwise use such Usable IP — or any area, office, part, section, or property of Ikoku University or of the Products and Services — for or to any parties except as expressly permitted by the Authorized IP Permission, the Intellectual and Real Property Policy, and the Codes and Polices.
D — On Property Protections
For Specific Persons
— For Entity
— With respect to protections of intellectual and associated real property for Ikoku University itself, as an entity, you understand and agree to abide by the following:
i. Protections: Entity
that Ikoku University holds protecting the intellectual and associated real property of Alvan Ikoku University to be a basic premise and right of its establishment and existence as an entity, and thus of high importance.
ii. Protections: Entity, Administration
that Ikoku University holds protecting such intellectual and associated real property to be important to its formation, governance, and overall administration.
iii. Protections: Entity, Areas
that Ikoku University holds protecting the intellectual and associated real property of its official areas, offices, parts, properties, sections, and equivalent — including any act, activity, agent, arrangement, asset, or involved material or matter — to be of high importance.
iv. Protections: Entity, Conduct, Service
that Ikoku University holds protecting the intellectual and associated real property of its official conduct and service — including any act, activity, agent, arrangement, asset, or involved material or matter — to be of high importance.
v. Protections: Entity, Mission
that Ikoku University holds protecting such intellectual and associated real property to be important to the fulfillment of its mission and purposes, and so does and will enforce, fulfill, and protect such intellectual and associated real property policies, principles, requirements, and rights — as well as attendant assets, interests, and properties — to the fullest extent possible.
vi. Protections: Entity, Non-Permission, Request
that neither you nor Ikoku University permit, request, or require any entity, office, or person — nor be permitted, requested or required — to infringe, in any way, such intellectual and associated real property, as provided for in the Codes and Policies and applicable law and regulation.
vii. Protections: Entity, Respect, Refrain, Report
that you respect such intellectual and associated real property and fulfill your duties to refrain from and report — via fully informing communication directly to the Founder — any actual, anticipated or apparent infringement.
— For Founder
— With respect to protections of intellectual and associated real property for the Founder of Ikoku University, Alvan Azinna Chibuzo Ikoku, you understand and agree to abide by the following:
i. Protections: Founder
that Ikoku University holds protecting the intellectual and associated real property of the Founder to be a basic premise and right of its establishment and existence as an entity — as well as the Founder’s sanctity and status as a human being — and thus of high importance.

that Ikoku University holds respecting the intellectual and associated real property of all that is contained and entailed in such being, body, and brain, and self, soul, and spirit — in physical or virtual solitude, in silence or in voice, written or otherwise recorded — to be of high importance.

that Ikoku University holds protecting the proprietary administration of conduct and service relating to a given human — including any act, activity, agent, arrangement, asset, or involved material or matter — to be of high importance.

including standard risks and threats to intellectual and associated real property resulting from effecting or facilitating discriminatory, undue or unequal burden on or treatment of a given human.
iv. Protections: Inconsistency, Instrumental

iii-a. Protections: Invalidation, Authorization, Activity
the ethical, lawful and specific aspect, conduct, or service — including any activity, agent, arrangement, asset, or involved material or matter — relating to Ikoku University or the Founder to be made accessible, administered in coordination or equivalent.

the ethical, lawful and specific aim, goal, objective, or purpose of making the above aspect, conduct, or service accessible, administered in coordination or equivalent.

the ethical, lawful and specific benefits to Ikoku University or the Founder, and any other person concerned, of making the above aspect, conduct, or service accessible, administered in coordination or equivalent.

the ethical, lawful and specific costs to Ikoku University or the Founder, and any other person concerned, of making the above aspect, conduct, or service accessible, administered in coordination or equivalent.

the ethical, lawful and specific duration – and time considerations or implications – for making the above aspect, conduct, or service accessible, administered in coordination or equivalent.

the ethical, lawful and specific procedures of keeping Ikoku University or the Founder of the accessible, administered in coordination or equivalent status of the above aspect, conduct, or service.

the ethical, lawful and specific means by which the Founder shall voluntarily give, maintain, or revoke such authorization for the above aspect, conduct, or service to be accessible, administered in coordination or equivalent.
iv. Confirmed via Organization Processes
all of the above as confirmed – even repeated, where appropriate – via processes conducted by Ikoku University, via the Founder’s authorization, and not to be substituted by processes conducted by other persons.
v. Confirmed via Written
none of the above being acceptable as authorization when indicated, provided or otherwise received orally or vocally or via any form other than written.
vi. Thus Confirmed not Presumed
none of the above being acceptable as authorization when assumed, presumed or equivalent, and only upon meeting all requirements and standards above may such authorization be deemed confirmed.
E — On Property Usage via Sites
— Administration of Sites
— With respect to the administration of the Sites as well as other Products and Services of Ikoku University, you understand and agree to abide by the following:
i. Sites, Administration
that the Founder, Alvan Azinna Chibuzo Ikoku, is solely empowered with all administrative powers over the Sites and other Products and Services of Ikoku University — as provided for in the Codes and Policies and the Conditions for Governance — and you agree and promise to not compete with, interfere with, or infringe, in any way, the Founder’s absolute, complete and sole administration of the Sites and other Products and Services.
ii. Sites, Ownership, Property
that Ikoku University and the Founder, Alvan Azinna Chibuzo Ikoku, are solely empowered with all ownership, property and proprietary powers and rights concerning intellectual and associated real property conceived, created, developed, innovated, invented, made, purchased or otherwise processed or produced at, by, for, in, on, via, with or otherwise in relation to the Sites and other Products and Services of Ikoku University — to be fully, solely and wholly awarded to and owned by the Founder — and you agree and promise to not compete with, interfere with, or infringe, in any way, such ownership, property and proprietary powers and rights.
iii. Sole Manner of Administration
with such administration of intellectual and associated real property relating to the Sites and other Products and Services of Ikoku University executed solely by the Founder, Alvan Azinna Chibuzo Ikoku, and solely via the Founder’s authorization.
iv. No Alternative, Delegation
with such administration not allowed to have any alternative — be it another act, activity, agent, arrangement, or equivalent — to the aforementioned sole administrator and sole manner of administration, and with such administration also not allowed to be delegated to or otherwise assumed by any other entity, office, or person.
— Additional Protections
— With respect to any and all intellectual and associated real property relating, in any way, to the Sites and other Products and Services, you understand and agree to abide by the following additional protections:
i. Protected Property of Sites
the Sites, other Products and Services, and all intellectual and associated real property they contain, display, and entail — including any involved arrangements, assets, material, and matter — are owned or licensed by Ikoku University and the Founder and are furthermore protected from any unauthorized distribution, duplication, or other use by copyrights, patents, service- and trade-marks, and other intellectual and real property and proprietary laws, rights, and treaties of the US, other countries, and international bodies.
ii. Sites as Protected Work
the Sites are also protected and recognized as a workunder copyright, patent, service- and trade-mark, and other intellectual and real property and proprietary laws, rights, and treaties of the US, other countries, and international bodies — wholly belonging to and owned by Ikoku University and specifically the Founder, Alvan Azinna Chibuzo Ikoku — and all individual material, matter, and other contributions and elements making up the Sites are also copyrighted works licensed to be used as part of the Sites, with no appearance, provision, submission, or other use or processing of any External Intellectual Property or User Property, as defined in the Codes and Policies, able or permitted to affect, change, diminish, or otherwise impact the protection, recognition, or absolute, complete, sole and whole ownership of the Sites or other Products and Services, as well as their copyrights, patents, service- and trade-marks, and other intellectual and real property and proprietary rights by Ikoku University and the Founder, as provided for in the Intellectual and Real Property Policy and the Codes and Policies.
iii. Sites as Acknowledged Property, Rights, Value
that you acknowledge that the Sites and other Products and Services constitute valuable intellectual and associated real property of Ikoku University and specifically Alvan Azinna Chibuzo Ikoku, the Founder, and that their property and proprietary rights are under the absolute, complete and sole administration and ownership of the Founder.
iv. Your Agreement to Abide
that you agree to abide by all applicable copyright, patent, service- and trademark, intellectual and real property laws, as well as any additional copyright and intellectual property notices or restrictions contained in the Sites.
v. Your Agreement to Protect
that you agree to protect the intellectual and associated real property and proprietary rights of Ikoku University and the Founder during and after the term of your access, conduct, service, and other use and visit relating, in any way, to the Sites, other Products and Services, and Ikoku University, and to comply with all reasonable written requests made by Ikoku University to protect such intellectual and associated real property and proprietary rights.
vi. Your Agreement to Notify
that you agree to notify Ikoku University and the Founder, directly and promptly, upon becoming aware of any unauthorized access, conduct, service, or other use or visit relating, in any way, to the Sites, other Products and Services, and Ikoku University by any entity, office, or person, or upon becoming aware of any claim that any person or any access, conduct, service, or other use or visit relating, in any way, to the Sites, other Products and Services, and Ikoku University infringes any intellectual and associated real property and proprietary protections or rights provided for in the Intellectual and Real Property Policy, the Codes and Polices, or applicable law or regulation.
vii. Exclusive Present, Future Rights
that all present and future rights in and to copyrights, know-how, patents, service- and trademarks, trade secrets, and other intellectual property and proprietary rights of any type under the laws of any governmental authority, domestic or foreign, including rights in and to all applications and registrations relating to the Sites will at all times be and remain the sole and exclusive property of Ikoku University and specifically the Founder, Alvan Azinna Chibuzo Ikoku; and furthermore, that all present and future rights in and title to the Sites (including the right to administer, deploy, and otherwise produce or use the Sites and any portions of the Sites over any present or future technology) are reserved to Ikoku University and the Founder for their exclusive use.
viii. Authorized Use of Sites
that except as specifically permitted by the Authorized IP Permission or Authorized Franchise or License, or as permitted in Intellectual and Real Property Policy, or as provided for more generally in the Codes and Policies, you may not access, duplicate, disseminate, or otherwise make any use of the Sites or any portion thereof.
ix. Authorized Use of Property, Rights via Sites
that except as specifically permitted herein, you will not acquire, represent, or otherwise use any intellectual property or proprietary rights relating to the Sites, other Products or Services, or Ikoku University, or the names of any individual contributor to the Sites, or any variations or derivatives thereof, for any purpose, without prior written authorization of the Founder as described above.
— Limited Permission
— With respect to the scope and nature of a limited permission Ikoku University grants to you during your access, conduct, service, or other use or visit relating the Sites or other Products and Services (the “Limited Permission”), you understand and agree to abide by the following:
i. Limited Permission: General
that your access, conduct, service, or other use or visit relating the Sites or other Products and Services is wholly consistent with a revocable, non-exclusive, non-transferable, limited permission — temporarily granted to you by Ikoku University — solely to access and display within the Sites areas, parts, and sections of the Sites or other Products and Services that are authorized, non-restricted in access, and public-facing, for authorized conduct, service, use, or visit, and as an authorized, consenting and identified customer or potential customer, user or potential user, or visitor, and in a manner and mode that is viewable and reviewable by Ikoku University and the Founder.
ii. Limited Permission: No Other Licenses, Rights
that — except for the Limited Permission described above — Ikoku University does not grant you any express or implied licenses or rights, whether under any copyrights, patents, service- or trademarks, or other intellectual or real property or proprietary rights.
iii. Limited Permission: No Mirroring
that you shall not mirror any area, part, or section of the Sites or other Products or Services — including any involved assets, material, or matter — on another product, service, or site or in any other media, place, or venue.
iv. Limited Permission: Not Competing
that your access, conduct, service, or other use or visit relating the Sites or other Products and Services is not in any manner or for any purpose or use that could compete with any of the activities, businesses, or purposes of Ikoku University, its divisions, series, subsidiaries, or affiliates, or the Founder, Alvan Azinna Chibuzo Ikoku.
v. Limited Permission: Not Illegal, Inconsistent
that your access, conduct, service, or other use or visit relating the Sites or other Products and Services is not in any manner or for any purpose or use that effects or facilitates an infringement or violation of the Codes and Policies or applicable law or regulation.
vi. Limited Permission: Policies Governance
that any software and other materials made available at the Sites or other Products or Services for your access, downloading, or other use, even with their own license terms, shall also be governed by the Intellectual and Real Property Policy, the Codes and Policies, and copyright, trademark and other intellectual property and proprietary notices provided by Ikoku University.
vii. Limited Permission: Termination
that your failure to comply with the Intellectual and Real Property Policy, the Codes and Policies, applicable law or regulation, or any copyright, service- or trademark, or other intellectual property or proprietary notices provided by Ikoku University will result in automatic termination of any licenses or rights granted to you, without prior notice, and in such a case you agree that you must immediately destroy all copies of downloaded materials in your control, custody, or possession.
viii. Limited Permission: Validity
that the limited permission described above shall remain valid provided you comply with the Intellectual and Real Property Policy, the Codes and Policies, and copyright, trademark and other intellectual property and proprietary notices provided by Ikoku University, and that they remain intact.

— With respect to intellectual and associated real property produced or otherwise processed during your access, activity, conduct, service, or other use or visit relating to the Sites or other Products and Services, you understand and agree to abide by the following:
i. User Data
that you — as a contributor, consumer, customer, participant, user, visitor or equivalent person using or visiting the Sites, other Products and Services, or Ikoku University — may via certain expressly authorized activity, conduct, service, or equivalent generate “user data and information,” as provided for in the Codes and Policies.
i-a. User Data, Ownership
that Ikoku University is the sole owner of any user data and information relating to Ikoku University, including but not limited to data and information accessed, collected, or otherwise processed via the Products and Services, or related, in any way, directly or indirectly, to your conduct or service.
i-b. User Data, Rights
that Ikoku University and the Founder, Alvan Azinna Chibuzo Ikoku, solely retain all intellectual property and proprietary rights for any and all user data and information, including such sole rights to administer and authorize branding, franchises, licenses, permissions, and other usage, as provided for in the Intellectual and Real Property Policy and the Codes and Policies.
ii. User Material
that you — as a contributor, consumer, customer, participant, user, visitor or equivalent person using or visiting the Sites, other Products and Services, or Ikoku University — may via certain expressly authorized activity, conduct, service, or equivalent be permitted to add to, contribute to, display, disseminate, edit, generate, modify, transform, or otherwise use “user material,” as provided for in the Codes and Policies.
ii-a. User Material, Ownership
that Ikoku University is the sole owner of any user material relating to Ikoku University, including but not limited to material contributed to, processed, or otherwise used via the Products and Services, or related, in any way, directly or indirectly, to your conduct or service.
ii-b. User Material, Rights
that Ikoku University and the Founder, Alvan Azinna Chibuzo Ikoku, solely retain all intellectual property and proprietary rights for any and all user material, including such sole rights to administer and authorize branding, franchises, licenses, permissions, and other usage; and that, for any needed further clarification, you hereby grant a License to Ikoku University in any user material related, in any way, directly or indirectly, to your conduct or service, as provided for in the Intellectual and Real Property Policy and the Codes and Policies.
iii. User Property
that you — as a contributor, consumer, customer, participant, user, visitor or equivalent person using or visiting the Sites, other Products and Services, or Ikoku University — may via certain expressly authorized activity, conduct, service, or equivalent be permitted to curate, display, disseminate, post, share, or otherwise use “user property,” as provided for in the Codes and Policies.
iii-a. User Property, Ownership
that you — as a contributor, consumer, customer, participant, user, visitor or equivalent person using or visiting the Sites, other Products and Services, or Ikoku University — attest to being the sole verifiable owner of any user property you display, post, share, or otherwise use via Ikoku University, including the Products and Services, or related, in any way, directly or indirectly, to your conduct or service; you further understand that Ikoku University welcomes any user property related, in any way, directly or indirectly, to your conduct or service — with the primary goal to enhance user experience and use of the Products and Services and improve Ikoku University’s efforts to fulfill its mission and purposes — and that, therefore, you do not provide any such user property that infringes the rights of other natural or legal persons.
iii-b. User Property, Rights
that you — as a contributor, consumer, customer, participant, user, visitor or equivalent person using or visiting the Sites, other Products and Services, or Ikoku University — retain intellectual property and proprietary rights for your user property; and that, further, you hereby grant a License to Ikoku University in any User Property user property related, in any way, directly or indirectly, to your conduct or service, as provided for in the Intellectual and Real Property Policy and the Codes and Policies.
iv. User-Related Processing, Consent
that Ikoku University does not access, collect, or otherwise process user data and information, user material, or user property related, in any way, directly or indirectly, to your conduct or service, except as authorized and consented, as provided for in the Codes and Polices.
iv-a. User-Related Processing, Circulation
that Ikoku University does not circulate, disclose, disseminate, or otherwise distribute user data and information, user material, or user property related, in any way, directly or indirectly, to your conduct or service to any entities, offices, or persons outside of Ikoku University, except as expressly authorized and consented, as provided for in the Codes and Polices.
iv-b. User-Related Processing, Delegation
that Ikoku University does not assign, delegate, or otherwise transfer user data and information, user material, or user property related, in any way, directly or indirectly, to your conduct or service to any entities, offices, or persons outside of Ikoku University, except as expressly authorized and consented, as provided for in the Codes and Polices.
iv-c. User-Related Processing, Non-Market
that Ikoku University does not buy, exchange, lease, rent, sell, or otherwise place into market user data and information, user material, or user property related, in any way, directly or indirectly, to your conduct or service with any entities, offices, or persons outside of Ikoku University, except as expressly authorized and consented, as provided for in the Codes and Polices.
iv-d. User-Related Processing, Primary
that, given the location of Ikoku University’s headquarters, offices, and primary operations in the United States, any user data and information, user material, or user property related, in any way, directly or indirectly, to your conduct or service may be processed and retained in, and where applicable, transferred to the United States; and that you understand and consent to such processing, retention, and transfer, recognizing that the United States mandates certain protections via applicable law and regulation, for which Ikoku University ensures compliance, and that such protection may not be the same as that required in others countries and territories.
iv-e. User-Related Processing, Protection
that Ikoku University endeavors to access, collect, and otherwise process user data and information, user material, and user property related, in any way, directly or indirectly, to your conduct or service in manner that is authorized and protective, as provided for in the Codes and Policies, recognizing that no processing is absolutely or entirely protective.

— With respect to the granted license and permission concerning intellectual and associated real property produced or otherwise processed during your access, activity, conduct, service, or other use or visit relating to the Sites or other Products and Services, you understand and agree to abide by the following:
i. User Property: Limited Permission
that Ikoku University solely grants to you the Limited Permission in any and all of your User Property, as such permission is described in the Intellectual and Real Property Policy and the Codes and Policies.
ii. User Property: License, General
that you — as a contributor, consumer, customer, participant, user, visitor or equivalent person using or visiting the Sites, other Products and Services, or Ikoku University contributing, providing, submitting, or otherwise using your User Property on the Sites, other Products and Services, or Ikoku University — grant to Ikoku University and the Founder, Alvan Azinna Chibuzo Ikoku, a perpetual, nonexclusive, irrevocable, fully paid, royalty-free, sub-licensable and transferable (in whole or in part) worldwide right and license (“User Property License”)
iii. User Property: License, Rights
to exercise all now or later existing intellectual property rights or other rights of yours or others in any and all of the User Property, now known or later developed, in full or in part, for purposes of supporting the mission and purposes of Ikoku University (as determined by Ikoku University and the Founder from time to time at their discretion) and in all possible media now known or later developed;
iv. User Property: License, Rights Included
with the foregoing rights including, but not limited to, the right to adapt, copy, create derivative works based upon, curate, display, disseminate, distribute, modify, perform, publish in public or private venues (e.g. brochures, media, newspapers, reports, sites), read (on air or otherwise), reproduce, transform, translate, transmit digitally, and otherwise use for any purpose whatsoever (including, without limitation, advertising, commercial, promotional and publicity purposes) at Ikoku University’s and the Founder’s discretion without additional attribution, consideration, or notice to you or to any other person or entity;
v. User Property: License, Uses Compensation
and with such additional uses by Ikoku University made with no compensation to you with respect to your User Property as the use of the Sites and other Products and Services is hereby agreed as being sufficient compensation for your User Property and grant of rights herein.
— User Liability Indemnification
— With respect to indemnification and limitation of liability concerning intellectual and associated real property produced or otherwise processed during your access, activity, conduct, service, or other use or visit relating to the Sites or other Products and Services, you understand and agree to abide by the following:
i. Attestation to Being Original Creator
that you covenant, represent, and warrant that you are the original author, creator, or producer of the User Property (except where you specifically indicate otherwise), that neither the consent nor permission of any other person or entity is required to enable Ikoku University to legally use your User Property in accordance with the above User Property License and that Ikoku University’s use of your User Property in accordance with the User Property License will not violate or infringe upon the rights of any person or entity, and that you own or otherwise control all of the rights to the User Property that you submit.
ii. Attestation to Limitation of Any Claim
that you covenant, represent, and warrant that, with respect to any claim you may have relating to or arising out of Ikoku University’s and the Founder’s actual or alleged use of any User Data and Information, User Material, or User Property generated or submitted to the Sites or Ikoku University, the damage, if any, thereby caused will not be irreparable or otherwise sufficient to entitle you to injunctive or other equitable relief or to in any way enjoin the exploitation or other use of any Product or Service of Ikoku University based on or allegedly based on the User Data and Information, User Material, or User Property, and your rights and remedies in any such event shall be strictly limited to the right to recover damages, if any, in an action at law.
iii. Attestation to Non-Claim of Violation
that you covenant, represent, and warrant that you irrevocably give up, release, and waive any claim that any use of such User Data and Information, User Material, and User Property violates any of your rights, including, without limitation, copyrights, patents, service- and trademarks, moral rights, privacy rights, proprietary or other property rights, publicity rights, or right to credit for the material or ideas, and forever release and discharge Ikoku University and its licensees from any and all claims you may have in connection with Ikoku University’s use of your User Property in accordance with the above User Property License.
iv. Attestation to Non-Injury, Non-Violation, Indemnification
that you covenant, represent, and warrant that the User Property you submit is accurate and truthful; that use of such User Property does not violate any of the Codes and Policies and will not cause injury to any person or entity; that you will indemnify Ikoku University, its official persons and parties, the Founder, and their assigns and successors for all claims resulting from such User Property; and that you are aware and agree that Ikoku University, its official persons and parties, the Founder, and their assigns and successors disclaim any responsibility and assume no liability for any User Data and Information, User Material, or User Property generated or submitted by you or any third party.
v. Attestation to Non-Obligation
that you covenant, represent, and warrant that neither Ikoku University nor the Founder are obligated to use or otherwise process any of User Data and Information, User Material, and User Property you create, generate, or submit via the Sites, other Products and Services, or Ikoku University and you have no right to compel such use.
vi. Attestation to Relationship
that you covenant, represent, and warrant that your relationship with Ikoku University is not a beneficiary, confidential, controlling, decision-making, fiduciary, ownership, voting, or other equivalent relationship, and that your decision to submit any User Material or User Property to the Sites, other Products and Services, or to Ikoku University does not confer, provide or place you in such a relationship with Ikoku University or the Founder and furthermore does not place you in a position with respect to Ikoku University or to the Founder that is any different from the position held by members of the general public with regard to your User Data and Information, User Material, and User Property.
vii. Attestation to Use of Property, Rights via Sites
that you covenant, represent, and warrant that, except as specifically permitted herein, you will not use any intellectual property rights of the Sites, other Products and Services, or Ikoku University, or the names of any individual contributor to the Sites or other Products and Services, or any variations or derivatives thereof, for any purpose, without prior authorization of the Founder as described above.
viii. Attestation to Use of Sites
that you covenant, represent, and warrant that, except as specifically permitted by Founder’s authorization, or as permitted more generally in the Intellectual and Real Property Policy, or the Codes and Policies, you will not copy, distribute, or otherwise make any use of the Sites, other Products and Services, or Ikoku University, or any intellectual and associated real property relating to the Sites, other Products and Services, or Ikoku University, or any portion thereof.
ix. Attestation to Understanding
that you covenant, represent, and warrant that the above contains the full and complete understanding between Ikoku University, the Founder, and you regarding Ikoku University’s use of User Data and Information, User Material, and User Property you create, generate, or submit via the Sites, other Products and Services, or Ikoku University, and the above understanding cannot be modified except by the Founder’s authorization.
